Please read these terms carefully before using Sukiden.

These Terms and Conditions (“Terms”) govern your access to and use of the Sukiden website, staff dashboard, scanner tools, APIs, and related services (collectively, the “Service”) operated by Waillan Digital OPC, doing business as Sukiden (“Sukiden,” “we,” “us,” or “our”). By creating an account, starting a trial, or using the Service, you agree to these Terms. If you use the Service on behalf of a business, you represent that you have authority to bind that business.
Sukiden is a software platform that helps local businesses design and distribute digital loyalty passes for Apple Wallet and Google Wallet, capture customer contact details, send follow-up messages (such as push notifications, email, and SMS where enabled), and measure engagement. Features vary by plan. We may update or discontinue features with reasonable notice when practicable.
You must provide accurate registration information and keep your login credentials secure. You are responsible for activity under your account and for staff accounts you invite. You must be at least 18 years old and able to form a binding contract under applicable law.
You retain ownership of your store branding, pass designs, offers, and customer lists you upload or collect through the Service. You grant us a limited license to host, process, and transmit that content solely to operate the Service (for example, to issue wallet passes and deliver messages you configure). You are responsible for obtaining any consents required from your customers and for complying with marketing, privacy, and wallet-platform rules that apply to your business.

We may suspend or terminate access if we reasonably believe you have violated these Terms or pose risk to the platform.
Paid plans, free tiers, and trials are described on our Pricing page. Fees are billed in Philippine Pesos (PHP) unless stated otherwise. By subscribing, you authorize us and our payment partners to charge your chosen payment method on a recurring basis until you cancel. Trial and promotional terms may change; we will describe them at signup or checkout.
Wallet passes rely on Apple Wallet and Google Wallet, which are subject to their own terms and policies. SMS, email delivery, analytics, and payment processing may involve third-party providers. We are not responsible for third-party services outside our reasonable control.
Sukiden, our logos, software, and documentation are protected by intellectual property laws. These Terms do not grant you any right to our trademarks or to copy our software except as needed to use the Service.
The Service is provided on an “as is” and “as available” basis. We do not guarantee uninterrupted operation, specific business results, or compatibility with every device. Wallet platforms may change how passes behave without notice.
To the fullest extent permitted by law, Waillan Digital OPC and its suppliers will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill. Our total liability for claims arising from the Service in any twelve-month period is limited to the amount you paid us for the Service in that period (or PHP 5,000 if you use only the free tier). Some jurisdictions do not allow certain limitations; in those cases our liability is limited to the maximum permitted by law.
You will defend and indemnify Waillan Digital OPC against claims arising from your content, your customer messaging, your violation of these Terms, or your violation of applicable law, except to the extent caused by our gross negligence or willful misconduct.
You may stop using the Service and cancel a paid subscription through your account settings or by contacting us. We may terminate or suspend the Service for breach, legal requirements, or business reasons with notice when reasonable. Sections that by nature should survive (including payment obligations, disclaimers, limitations, and indemnity) survive termination.
We may update these Terms from time to time. We will post the revised version on this page and update the effective date. Material changes may also be communicated by email or in-product notice. Continued use after changes take effect constitutes acceptance.
These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law rules. Courts in Quezon City, Philippines shall have exclusive jurisdiction, subject to any mandatory consumer protections in your jurisdiction.
